1. About Cyber Globe
Cyber Globe I.T. Services Limited provides information technology, cyber security, cloud, Microsoft 365, managed services, consultancy, and related support services to businesses, organisations, and individual consumers. Our services may be provided under a formal service agreement, proposal, statement of work, project agreement, managed service contract, or other customer-specific documentation.
We provide services to both businesses/organisations and individual consumers. The exact scope, deliverables, service levels, responsibilities, fees, and timing of work will be set out in the agreed contract or quote between the customer and Cyber Globe.
These Terms apply to the website and to the general terms under which Cyber Globe provides services, unless a more specific signed or accepted contract between the parties states otherwise.
2. Scope of services and customer journey
Cyber Globe may provide a range of services including, without limitation:
- Managed IT / MSP services
- Microsoft 365
- Cybersecurity
- Cloud services
- IT consultancy
- Hardware and software-related services
- Cybersecurity awareness and staff training
- Backup and Disaster Recovery
- Remote Support
- Website development
- Infrastructure projects and migrations
- Other agreed IT services
Typical customer engagement follows a practical process: website enquiry, discussion, initial assessment, quotation or proposal, customer acceptance, service contract, and then work begins. Where a customer enters a managed service arrangement, Cyber Globe may offer long-term service contracts, including 1, 2, 3, 4 and 5 year terms. For specific work such as cloud migrations, infrastructure upgrades, development projects and other project work, short-term or project-based contracts may also be used.
3. Pricing, invoices and payment
Customers are normally invoiced rather than paying directly through the website. The exact fees, payment terms, invoicing schedule, and any onboarding or project charges will be set out in the quotation, proposal, statement of work, service agreement, or other agreed contract.
Unless otherwise agreed in writing, invoices are due within the period set out in the relevant contract or, if no period is stated, within 30 days of the invoice date. Cyber Globe may suspend or pause performance of services, or suspend access to systems or support, after reasonable notice where a customer has not paid amounts due and remains in default, subject to any applicable legal rights and obligations.
If payment is not made on time, Cyber Globe may charge interest or late payment costs to the extent permitted by law. This includes, where legally permitted, costs reasonably incurred in recovering overdue amounts. Nothing in these Terms removes any mandatory consumer rights or protections that may apply to a consumer customer.
Where a customer disputes any invoice, it should notify Cyber Globe promptly and provide sufficient detail so that the issue can be reviewed and resolved without unnecessary delay. Payment of undisputed amounts remains due in accordance with the agreed terms.
4. Intellectual property
Cyber Globe retains ownership of its pre-existing materials, templates, methodologies, frameworks, scripts, automation, tools, know-how, generic documentation, and other reusable intellectual property, including general technical methods and materials developed for use across multiple customers.
Customer-specific deliverables created or developed for a customer under an agreed contract will be owned in accordance with the relevant contract. In the absence of a different written arrangement, the customer will receive the rights necessary to use the agreed deliverables supplied to it under the contract for the purpose of the contracted service or project.
Where a customer-specific contract expressly provides a different ownership arrangement, that agreement takes precedence over these general Terms. Cyber Globe may continue to use its general knowledge, methods, templates, frameworks, reusable materials, and experience for other customers, provided this does not involve disclosing the customer’s confidential information or proprietary materials without consent.
5. Confidentiality
Each party will keep confidential and not disclose to any third party any non-public information of the other party that it receives or becomes aware of in connection with the services or the relationship, except to the extent that disclosure is necessary to perform the contracted work, required by law, or clearly already in the public domain through lawful means.
This confidentiality obligation applies to both customer information and Cyber Globe information, including proprietary business information, technical information, pricing, project information, support details, and any other confidential material identified as such or reasonably understood to be confidential.
Confidential information should be used only for the purpose of the agreed services and relationship, and must be protected with at least the same degree of care the receiving party uses to protect its own information of a similar importance. Confidential obligations continue for a reasonable period after the end of the relationship, subject to any longer period required by law or contract.
6. Data protection and GDPR terms
Cyber Globe is committed to processing personal data in compliance with the General Data Protection Regulation (GDPR), the Data Protection Act 2018, and any other applicable Irish and EU data protection laws.
Where Cyber Globe processes personal data on behalf of a customer, the customer remains the Controller and Cyber Globe acts as Processor to the extent applicable under the relevant agreement and applicable law. In such cases, these Terms include the following Data Processing Agreement provisions, which are intended to operate as a practical GDPR Article 28-style data processing schedule where relevant.
Schedule 1 – Data Processing Agreement (GDPR)
- Roles and scope. The customer is the data controller (or other data controller/processor as applicable) for the personal data it entrusts to Cyber Globe. Cyber Globe will process personal data only for the limited purpose of providing the agreed services and as expressly authorised by the customer in writing, subject to these Terms and the relevant customer agreement.
- Subject matter and duration. The subject matter of the processing is the provision of the agreed IT, MSP, cloud, security, website, support or related services. Processing will continue for the duration of the service relationship and for any period needed to fulfil legal or contractual obligations or to complete agreed termination procedures.
- Nature and purpose of processing. Processing may include the collection, storage, use, access, transfer, hosting, backup, classification, analysis, monitoring, support, administration, security monitoring, and deletion of personal data in connection with the services agreed with the customer.
- Categories of personal data. Personal data may include, as relevant to the service, names, job titles, contact details, account credentials, user identifiers, system logs, support records, device information, network information, communications, and other business or operational data reasonably necessary for the provision of the service.
- Categories of data subjects. This may include employees, contractors, customers, suppliers, website users, authorised users, support contacts, and other individuals whose personal data is required for the operation of the customer’s systems or services.
- Documented instructions. Cyber Globe will process personal data only on documented instructions from the customer, including the purpose, scope, retention requirements, and any restrictions or handling procedures set out in the agreement or otherwise agreed in writing. Cyber Globe will not use personal data for its own purposes beyond the specific service or as required by law.
- Confidentiality. Cyber Globe will ensure that all persons authorised to process personal data are subject to an obligation of confidentiality, whether contractual or statutory, and will restrict access to personal data to those who need it to provide the service.
- Security measures. Cyber Globe will implement appropriate technical and organisational security measures to protect personal data against unauthorised or unlawful processing, accidental loss, destruction, damage, or disclosure, taking into account the nature of the data and the risks involved. These measures will be proportionate and appropriate to the service, but no provider can eliminate every possible risk. The customer remains responsible for the information and data it provides, including the accuracy, legality, and appropriateness of the personal data it sends to Cyber Globe or authorises Cyber Globe to access.
- Breach support and notification. Where Cyber Globe becomes aware of a personal data breach affecting personal data processed on behalf of the customer, it will promptly inform the customer and provide reasonable assistance in assessing the impact, containing the issue, documenting the incident, and taking steps to mitigate harm, subject to the terms of the relevant agreement and any legal obligations. Cyber Globe will notify the customer without undue delay where such a breach is reasonably likely to require notification to a regulator or data subject, but the customer remains responsible for determining its own legal notification obligations to regulators, supervisory authorities and data subjects, except where local law requires Cyber Globe to notify directly.
- Data subject rights. Cyber Globe will provide reasonable assistance to the customer to respond to requests from data subjects to exercise their rights under GDPR, including access, rectification, erasure, restriction, objection, portability, and automated decision-making rights, where applicable and to the extent reasonably possible within the service arrangements.
- DPIAs and compliance assistance. Cyber Globe will assist the customer, where reasonably requested and to the extent within scope, with the completion of data protection impact assessments and with information required for compliance with the customer’s obligations under data protection law, including cooperation with regulators and supervisory authorities as appropriate.
- Sub-processors. Cyber Globe may engage sub-processors, contractors or third-party cloud providers to support the services. Where such providers process personal data on behalf of Cyber Globe, Cyber Globe will use reasonable efforts to ensure they are bound by obligations at least equivalent to those set out in this schedule and applicable law. Cyber Globe will inform the customer of material changes to sub-processors where reasonably required by the contract or applicable law.
- Third-party and cloud services. The customer is responsible for the lawful use, configuration and security of its own systems, accounts, cloud environments and data, including the operation of any third-party services used in connection with the services. Cyber Globe may provide or manage services from Microsoft and other third-party providers, but it does not control all third-party outages, changes, suspensions, failures, service limits or acts of external providers. Cyber Globe remains responsible for the services it directly provides in accordance with the relevant agreement and these Terms, without limiting the customer’s own responsibilities for its business systems and data.
- International transfers. Where personal data is transferred outside the European Economic Area or to countries without an adequacy decision, Cyber Globe will ensure that appropriate safeguards are in place as required by law, including suitable contract terms or other lawful transfer mechanisms applicable to the transfer.
- Return and deletion. On termination or expiry of the service relationship, and unless otherwise agreed in writing, Cyber Globe will return or make available to the customer personal data in a common, structured, machine-readable format where reasonably practicable, and will securely delete or anonymise personal data in accordance with the agreed retention and deletion arrangements, except where retention is required by law or the relevant contract.
- Audit and information rights. Cyber Globe will make available to the customer reasonable information necessary to demonstrate compliance with this Data Processing Agreement, subject to confidentiality and commercial sensitivity considerations. The customer may, where permitted by law and the contract, carry out reasonable audits of Cyber Globe’s compliance with the agreed processing arrangements, including reasonable documentation, reports and information sharing, provided such audits are conducted in a proportionate and non-disruptive manner.
- Records and cooperation. Cyber Globe will keep records of processing activities reasonably necessary to demonstrate compliance and will cooperate with the customer in meeting its obligations under GDPR, including assistance with regulator inquiries, requests for information, and other reasonable compliance matters.
- Confidentiality after termination. The confidentiality and data protection obligations in this schedule continue after termination of the service relationship for the period required by applicable law or the agreement.
- Applicable GDPR requirements. Cyber Globe will process personal data in accordance with the GDPR and all applicable data protection laws, including the key principles of lawfulness, fairness, transparency, purpose limitation, minimisation, accuracy, storage limitation, integrity, confidentiality, and accountability. The customer remains responsible for its own lawful basis for processing and for the proper notice, consent, and lawful processing arrangements it provides to individuals where required by law.
7. Cybersecurity and system resilience
Cyber Globe will provide the cyber security and IT services agreed in the relevant contract using appropriate professional and technical measures. However, no IT or security provider can eliminate every possible cyber risk, threat, system compromise, outage, or disruption. Cybersecurity and related services are provided using reasonable skill, care and professional practice, but Cyber Globe does not guarantee that customer systems or data will never be attacked, hacked, infected, compromised, lost, damaged or unavailable.
Where Cyber Globe provides backup and disaster recovery services, those services are subject to the specific scope, configuration, retention, recovery arrangements, technology limits, test procedures, exclusions and service assumptions agreed with the customer. Backups and restore processes are not a guarantee that all data can be recovered in every circumstance or within a specified timeframe.
8. Third-party services and external providers
Cyber Globe may provide or manage services from Microsoft and other third-party providers, including cloud platforms, security tools, software, hosting, licensing, connectivity or support arrangements. Cyber Globe does not control third-party infrastructure, outages, changes, service suspensions, licensing restrictions, failures, or changes in provider policies. This does not remove Cyber Globe’s own contractual responsibilities for the services it directly provides, but it means that service availability and performance can be affected by factors outside Cyber Globe’s reasonable control.
9. Customer responsibilities
Customers must:
- Provide accurate, complete and timely information relevant to the service;
- Provide necessary access, permissions, facilities or cooperation;
- Maintain authorised users and appropriate internal controls;
- Promptly report faults, incidents, suspected security issues or breaches;
- Cooperate with Cyber Globe in carrying out assessments, onboarding, support and remediation;
- Use the services lawfully and in compliance with applicable laws and regulations;
- Not intentionally interfere with systems, services, security controls or access arrangements;
- Ensure that third-party systems, data or dependencies used with the service are maintained and operated responsibly.
Where a customer fails to provide information, maintain access, or cooperate with required steps, Cyber Globe may be unable to complete the agreed service, and any delays or failures caused by the customer’s inaction may fall outside the service commitments.
10. Website information and general website terms
The content on this website is general information about Cyber Globe and its services. It is provided for informational purposes only and does not itself constitute a quotation, estimate, guarantee, offer, or binding agreement.
Cyber Globe aims to keep the website accurate and available for normal use, but does not guarantee uninterrupted access, error-free operation, or the absence of delays, outages, technical issues or changes. Website content may be updated from time to time.
Website users must use the website lawfully and in a way that does not harm, interfere with, or misuse the site or any services connected to it.
11. Contract priority and precedence
These website Terms are intended to apply as a general set of terms for the website and general service relationships. However, where there is a conflict, a specific signed or accepted service agreement, proposal, statement of work, SLA, project agreement or other customer-specific contract takes precedence over these general Terms. This applies to the scope of work, fees, service levels, deliverables, data processing arrangements, responsibilities, and any other provisions expressly agreed between the parties.
12. Liability and exclusions
Cyber Globe will carry out the services with reasonable care and skill in accordance with the relevant agreement and professional standards applicable to the services being supplied.
Subject to any mandatory rights that cannot be excluded by law, Cyber Globe will not be liable for indirect, consequential, incidental, special, punitive, or loss-of-business damages, including loss of profit, goodwill, revenue, data, business opportunity or reputational damage, arising from or connected with the services, unless caused by fraud, gross negligence, deliberate misconduct, or any liability that cannot be lawfully excluded.
To the extent permitted by law, the aggregate liability of Cyber Globe under or in connection with the services and these Terms is limited to the fees paid or payable to Cyber Globe for the service giving rise to the claim in the 12 months immediately prior to the event giving rise to the claim, or such other amount as may be agreed in writing in the relevant contract. This limitation applies unless a higher limit is required by law or required under a specific contract.
Nothing in these Terms excludes or limits rights that cannot be excluded or limited under Irish or EU consumer protection laws. Where a customer is a consumer, the customer retains any protections provided by mandatory consumer law and these Terms shall be interpreted accordingly.
13. Suspension, termination and service issues
Cyber Globe may suspend or terminate the relevant service or agreement where:
- A customer fails to pay amounts due after reasonable notice;
- A material breach of the agreement or these Terms is not remedied in a reasonable time;
- There is misuse of systems, accounts, licences, support or service access;
- A customer’s actions or omissions create a material security risk or operational risk;
- A service cannot lawfully continue, a third-party provider withdraws support, or a required dependency becomes unavailable;
- Cyber Globe reasonably determines that continued performance would be unsafe, unlawful, commercially unreasonable, or incompatible with professional obligations.
In the event of termination, the customer remains responsible for any fees, charges, or expenses incurred up to the effective date of termination, including fees for work already performed or services already supplied. Where a customer is a consumer, any termination rights and remedies available under mandatory consumer law remain available to the consumer.
14. Complaints and contact

Cyber Globe will aim to acknowledge complaints promptly and to review and respond in a fair, reasonable and professional manner. If a complaint cannot be resolved directly, the parties may consider other formal routes available under law or the relevant contract.
15. Governing law and jurisdiction
These Terms and any contract between Cyber Globe and a customer are governed by Irish law. The Irish courts will have jurisdiction in relation to disputes arising out of or in connection with these Terms, subject to any rights, protections or remedies available to consumers under mandatory law. If the customer is a consumer and different mandatory rights apply in the customer’s jurisdiction, those rights remain applicable.
16. Changes to these Terms
Cyber Globe may update these website Terms from time to time to reflect legal developments, operational changes, service changes, or other requirements. Any updated version applies to website use from the stated effective date, and any legal or regulatory changes will apply as required by law. These website Terms do not automatically amend or override an existing signed or otherwise binding customer service agreement. Any change to an existing customer contract must be handled in accordance with the amendment or change provisions in that contract or otherwise agreed in writing with the customer. To the extent required by law, any mandatory consumer rights or protections remain applicable.
